Per the ZEISS EULA (End User License Agreement), Calypso software is generally non-transferrable. That is, if Company A sells their CMM to Company B, the software license does not transfer over to Company B.
However, if the CMM in question has an active SMA (Software Maintenance Agreement) at the time Company A sells the machine to Company B, then the software is indeed transferrable with no fee.
In the no SMA scenario (non-transferrable), Aftermarket Sales will offer to Company B a new License and SMA of Calypso software at a 50% discount from current List Price. This is 50% discount is not required but is a generous concession by ZEISS being that the non-transferability is often unforeseen by Company B. Any additional software modules that had existed on the CMM originally may also be offered at 50% discount. Additional software desired not part of the original machine may be offered at List Price (or up to 10% discount if desired by Aftermarket Sales).

Our EULA agreement states:
2) Policy regarding Customers that purchase used ZEISS CMMs and/or ZEISS Software from non-authorized dealers or private sales. (i.e. auction, E-bay, machine resellers)
• With the exception to CMMs with a current SMA; Explanation to customer that the ZEISS software they received was a non-exclusive, non-transferable right of use agreement between ZEISS and the original end user. ZEISS is unable to provide any updates, service packs or support for this License.
• We will offer a 50% discount for a new license of Software and SMA – limited to the software and options that was on the machine. Additional options can be purchased at list price.
- Under EULA paragraph 4.4 - Software Product may be transferred to another party as part of a machine sale IF the CMM has a current SMA that was purchased by the Licensee (original owner).
