License Transfer Fee-- EULA policy

Dear Aftermarket team,

Please review new policies regarding customers asking to transfer software licenses, typically requested when selling or buying a used ZEISS system in the open market. These polices are aligned with the EULA and SMA agreements and needed for consistency and compliance.

1.    Customers with an active SMA can request to reassign or transfer their right of use of ZEISS software to another party. This is a benefit of the SMA, and there is no cost for the transfer of the license. If the SMA is expired, customers may purchase an SMA to allow the transfer of licenses.

ZEISS will consider the transfer of licenses under the following conditions:
•    The licensee (current user) must have an active SMA for the subject software licenses.
•    The licensee provides full contact information for the recipient company.
•    The recipient agrees to the End User License Agreement (EULA).
•    The licensee notifies the receiving party the SMA does not transfer. Only the right to use the licenses.
•    The licensee agrees no copies of the software product remain with the user.
•    The licensee provides written notice to end the EULA and SMA agreements with ZEISS.
•    Licenses are transferable only within the country in which they were originally acquired.
•    All software modules (options) are identified and are transferred as one transaction

The licensee (current user) can provide the completed form to aftermarket.metrology.us@zeiss.com. Aftermarket can review and approve the request, and return confirmation to the customer. Aftermarket is asked to work with Service Billing and Customer Care to update CRM with the new account information and location of the ZEISS system. With the transfer of license, we are NOT transferring the SMA, and not creating a new SMA contract.


2.    SMAs are not transferable. Only the license and right to use ZEISS software is transferred. Only after the software license is transferred, the new account may purchase an SMA for support and software updates.


3.    If software licenses are not transferred during the sale of a used machine, the new account may purchase new licenses at 60% discount. We typically find this customer when they are asking for Software support or a current version of software. Aftermarket is asked to explain that the ZEISS software they received was a non-transferable right of use agreement between ZEISS and the original end user.  ZEISS is unable to provide any updates, service-packs or support for this software. However, ZEISS will offer a 60% discount for a new license of Software. Purchase of SMA at list price is also required.  (Upgrade part numbers should be used in the actual quote) The discount is limited to the software and options that were on the machine.  Additional options can be purchased at list price.

----------------------ADDITIONAL NOTE--------------------

Another update needed to clarify our software EULA.

In compliance with our EULA, ZEISS is not able to offer or renew an SMA to customer that no longer own or possess the CMM, or customers that have sold or otherwise transferred the CMM to a third party.

Under the policies defined below, we are seeing 3rd party owners or resellers reaching out to the original licensee to purchase an SMA on their behalf – to get the latest software version.
In some cases, the 3rd party is asking ZEISS for contact information of the original licensee.

This policy is aligned with the EULA, and prevents wasted time, iBase maintenance issues, and shenanigans played by 3rd party sellers.

Per EULA “The license agreement shall terminate automatically if licensee transfers possession of the software product or a copy of the software to a third party (Sections 4.3 to 4.6) or sells the computer or measuring device on which the software product is installed to a third party.”

Completing the form with Option 1 [above] is only available to customers that still have ownership and possession of the CMM.
