Overview of what should be submitted through C365

Effective immediately, all legal review requests must be submitted through the Contracts 365 (C365) Portal

Please note:
-    legal does not sign-off on any documents (Mark Smith and Michael Kirchner signatures = CJ Gardner / Fotios Pantis signature = Dawn Snyder-Volk)
-    the legal mailbox is no longer regularly monitored – items sent to the mailbox and not through C365 will not be reviewed.

Also effective immediately, please do not send anything to Mark Smith that requires legal review – Mark does not review legal documents and Mark does not sign them.

Here is an overview of items that should be submitted through C365:

•  Sales of Products > 50k (based on list price) requiring a signature
•  Sales of Services > 15k (based on list price) requiring a signature
•  Incorporate a Customer’s terms (by full text, reference, or an imbedded hyperlink) requiring a signature
•  Deviations from Standards
•  International Customers
•  Involve more than one ZEISS entity (i.e. extends to an affiliated company)
•  Contracts with an agency of the US Government or containing FAR, DFAR, DEAR etc. government flow-down provisions (incorporated by full text, reference, or an imbedded hyperlink)
•  RFPs, RFQs, SOAs
•  Extensions or Addendums with substantive changes
•  Amendments
•  Code of Conduct
•  Education Agreement
•  Lease Agreement
•  Master Sales Agreement
•  Master Service Agreement
•  Master Purchase Agreement
•  Non-Disclosure Agreement (mutual and unilateral and other)
•  Quality Agreement
•  Sales Agreement
•  Solicitation/Bid
•  Statement of Work
•  Terms and Conditions (T&Cs) requiring a signature
